Terms and Conditions for the Herman Moore Dealerships Employee Meet & Greet Drawing

1. Sponsor

The "Herman Moore Dealerships Employee Meet & Greet Drawing" (the "Drawing") is sponsored by EngageProAuto, a product of Helm Technologies LLC. Helm Technologies LLC, Herman Moore, and HelmMoore84 LLC are collectively referred to as the “Sponsors” throughout these Terms and Conditions.

2. Eligibility

To be eligible for the Drawing, participants must:

- Sign up and attend an EngageProAuto demo by October 31, 2024.

- Be employed by a dealership at the time of entry and drawing.

- Be located in the United States and over the age of 18.

- One entry per dealership is allowed.

Void where prohibited by law.

3. Entry Details

To enter the Drawing:

- Dealerships must complete the demo sign-up form and attend the demo session scheduled before or on October 31, 2024.

- The Drawing will take place on November 1, 2024. One dealership will be selected as the winner.

No purchase is necessary to enter the Drawing. Signing up and attending the demo is sufficient for entry.

4. Prize

The winning dealership will receive a 60-90 minute Employee Meet & Greet event with Herman Moore, which may include:

- Encouragement and motivation from Herman Moore.

- Customized key messages for the dealership employees, as provided by the dealership in advance.

- Photos and autographs with Herman Moore.

- Employee recognition and acknowledgement by Herman Moore.

The event will be scheduled at a mutually agreed-upon date and time, and is subject to the availability of Herman Moore.

5. General Conditions

- The Sponsors reserve the right to modify, cancel, or terminate the Drawing in the event of unforeseen circumstances, including but not limited to fraud, technical failures, or other issues beyond their control.

- The Sponsors are not responsible for any technical errors or malfunctions related to the registration, demo attendance, or the Drawing.

- The Sponsors reserve the right to disqualify any dealership or participant who violates these Terms and Conditions or attempts to tamper with the entry process.

6. Limitation of Liability

- The Sponsors shall not be held liable for any indirect, incidental, or consequential damages that may result from participation in the Drawing, the awarding of the prize, or any issues arising from the Meet & Greet event, including but not limited to personal injury, property damage, or other harm.

- By entering the Drawing, participants agree to release and hold harmless the Sponsors, including Herman Moore, HelmMoore84 LLC, Helm Technologies LLC, their employees, affiliates, and representatives, from any liability, claims, or actions of any kind arising from participation in the Drawing or the use of the prize.

7. Prize Acceptance

By accepting the prize, the winning dealership agrees to:

- Provide feedback and coordination details prior to the Meet & Greet.

- Allow Herman Moore to deliver customized messages to the dealership’s employees.

- Grant permission for photos and video footage taken during the event to be used by the Sponsors for promotional purposes.

The prize is non-transferable and cannot be exchanged for cash or other items of value.

8. Privacy

By entering the Drawing, participants consent to the use of their contact information for communications related to the Drawing and future marketing activities from the Sponsors. The Sponsors will not share personal information with any third parties without prior consent.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in Oakland County, Michigan.

10. Acceptance of Terms

By entering the Drawing, participants fully and unconditionally agree to these Terms and Conditions and acknowledge that the decisions of the Sponsors are final and binding in all matters related to the Drawing.

11. Amendments to Terms and Conditions

The Sponsors reserve the right to modify, update, or change these Terms and Conditions at any time, without prior notice. Any changes will be effective immediately upon posting of the updated Terms and Conditions. It is the responsibility of participants to review the Terms and Conditions for any updates or modifications. Continued participation in the Drawing constitutes acceptance of any revised Terms and Conditions.

12. Maximum Contact Attempts and Coordination

The Sponsors will make a maximum of three (3) attempts to contact the winning dealership via the contact information provided during the demo registration process. If the winning dealership does not respond within fourteen (14) days of the final contact attempt, the Sponsors reserve the right to select an alternate winner or cancel the prize, at their sole discretion. It is the responsibility of the winning dealership to coordinate and agree upon a date for the Meet & Greet event within sixty (60) days of initial contact. Failure to do so may result in forfeiture of the prize.

13. Acceptance of Terms and Conditions

By participating in the Drawing, dealerships acknowledge and agree to be bound by these Terms and Conditions. Failure to accept and comply with these Terms and Conditions will result in ineligibility to win the prize. Participation in the Drawing constitutes full acceptance of all terms and conditions outlined herein.
